Description : Maintenance and licenses of the DMS Corsa by BCT In the past, an agreement was concluded between Werkzaak and BCT regarding, among other things, the purchase of a license for the Standard Software of Corsa, the development of Customized Software on Corsa as well as the maintenance ofthis Software. The Intellectual property right (IP right) with regard to the Standard Software rests with BCT. The IP law with regard to the Custom Software rests with Werkzaak. It is stated that BCT is exclusive (i.e. exclusivelyting of another party) is authorized to carry out maintenance on the Standard Software. Werkzaak must ensure that BCT is exclusively authorized with regard to maintenance. Insofar as this is the case, the provisions of Article 2.32 sub b of the Public Procurement Act offer the possibilityability to apply a negotiated procedure without notice (one-to-one assignment). This article provides: The contracting authority may use the negotiated procedure without notice if:[…]b. the public contract for technical or artistic reasons or for reasons of concernprotection of exclusive rights can only be entrusted to a specific entrepreneur,[..] The term exclusive rights can in any case be understood to mean the exclusive rights based on intellectual property law, such as copyright and patent law.
